("cobaltquanta", "we", "our", or "us") regarding your use of our payroll fintech services and website. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

User Obligations

By using our services, you agree to:

• Provide accurate and complete information when registering and using our services
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes and in accordance with these Terms
• Comply with all applicable laws and regulations in your jurisdiction
• Not attempt to gain unauthorised access to our systems or other users' data
• Not use our services to transmit malicious code or engage in harmful activities
• Promptly notify us of any security breaches or unauthorised use of your account

Account Registration and Security

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security.

Payment Terms

Payment terms for our services will be specified in your service agreement or invoice. All fees are exclusive of applicable taxes unless otherwise stated. Late payments may incur additional charges as specified in your agreement. We reserve the right to suspend or terminate services for non-payment.

Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and designs, are owned by cobaltquanta or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without our express written permission.

Service Availability and Maintenance

Whilst we strive to provide continuous service availability, we do not guarantee that our services will be available at all times. We may perform maintenance, updates, or improvements that may temporarily affect service availability. We will endeavour to provide reasonable notice of planned maintenance activities.

Limitation of Liability

To the maximum extent permitted by applicable law, cobaltquanta shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services. Our total liability for any claims arising under these Terms shall not exceed the amount you have paid to us for the services in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless cobaltquanta and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of our services, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bilbao, Spain. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If a dispute cannot be resolved through direct communication, we may engage in mediation or other alternative dispute resolution methods before pursuing formal legal proceedings.

Termination

Either party may terminate this agreement with reasonable notice as specified in your service agreement. We may immediately terminate or suspend your access to our services if you breach these Terms or engage in activities that may harm our business or other users. Upon termination, your right to use our services will cease immediately, though certain provisions of these Terms will survive termination.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and cobaltquanta regarding your use of our services and supersede all prior agreements and understandings.
